1. PROGRAM OVERVIEW. The
MARS Foodservices Premium Points
Program (the “Program”) offers eligible participants the opportunity to earn
Program points (“Points”) with the purchase of specified UNCLE BEN’S®
Brand Products (“Program Products”). Points are redeemable for merchandise
awards described in the Program brochure (“Program Awards”).
2. ELIGIBILITY. The Program is open only to
individual legal residents of the United States of America (excluding
territories and possessions) who are employees of foodservice operators,
excluding employees of MARS Foodservices, a Division of Mars, Incorporated,
or any of its respective affiliates (“Participants”). Eligibility is subject to policies of
Participants’ employers concerning the acceptance of incentive benefits. By participating in the Program,
Participants warrant they are eligible to participate under such employers’
policies and agree to be bound by these Terms and Conditions. MARS Foodservices reserves the right to
disqualify any Participant whose participation in the Program and/or claim
for Program benefits is determined by MARS Foodservices to violate applicable
laws or regulations, constitute fraud, or fail to comply with these Terms and
Conditions.
3. POINTS COUPONS. A coupon
(the “Points Coupon”) evidencing the following number of Points appears
on/inside each of the following Program Products.

4. DEPOSITING POINTS. Participants can “bank” points with MARS Foodservices by mailing all
Points Coupons, along with a completed Deposit Form (available online) to
MARS
Foodservices Premium Points Program

5. POINTS REDEMPTION. To
redeem Points collected, Participants must complete and sign the Points
Redemption Form. This form is available online through www.MARSfoodservices.com,
and is also included in the Program catalog.

www.MARSFoodservices.com and follow the on-screen directions.
To redeem points by
mail, submit the completed
Points Redemption Form, together with the Points Coupons, to
MARS
Foodservices Premium Points Program

A Points Redemption Form is also available by
calling 1-800-255-2639. Participants should keep a copy of all items submitted
in connection with each Points redemption. No incomplete, damaged, copied,
mechanically reproduced, altered, or forged Points Coupons will be accepted.
Illegible or incomplete Points Redemption Forms will not be accepted.
Once a Participant’s order is received and Points Coupons
verified, the Participant will be sent an acknowledgement letter confirming
the Program Awards ordered and applicable shipping dates. All Points
redemptions are subject to verification by MARS Foodservices, whose decisions
are final. In the event additional
information is needed in connection with any Participant Points redemption,
MARS Foodservices or its representative will contact the Participant by U.S.
mail (using the most recent contact data provided by the Participant). If Participant fails to respond within 15
days after the date of mailing, the Points redemption in question will be
denied and the Participant may not later redeem the Points associated with
the denied redemption.
6. TAXES. Participants are responsible
for all income and other taxes assessed in connection with receipt of
benefits under the Program.
7. PROGRAM TERM AND TERMINATION. MARS
Foodservices reserves the right, in its sole discretion, to modify, cancel,
terminate, or suspend the Program at any time. In the event of any termination of the Program, MARS
Foodservices may require Participants to use all remaining Points within 90
days after notice of Program termination.
8. MISCELLANEOUS.
(a) By participating in the Program, Participants agree to
release and hold harmless MARS Foodservices, authorized MARS Foodservices
distributors and brokers, and their respective parents, subsidiaries,
affiliates, officers, directors, employees, and agents from and against any
and all liability, loss, or damages arising out of or in connection with the
Participant’s participation in the Program and/or receipt of benefits
thereunder.
(b) MARS Foodservices and its representatives are not
responsible for late, lost, stolen, damaged, incomplete, misaddressed, postage
due, or misdirected Points redemption or other communications.
(c) These Terms and Conditions will be governed by and
construed in accordance with the internal laws of the State of Delaware.
